1. Acceptance of Terms

These Terms of Service govern your use of Phantom Helix services, including the PhantomHelix.com website, SIERRA desktop software, SIERRA Cloud authentication, billing, token purchases, and Cloud Invoker features. By accessing or using those services, you agree to these terms. If you do not agree, do not use the services.

2. License and Acceptable Use

2.1 License Grant

Subject to these terms, Phantom Helix grants you a limited, non-exclusive, non-transferable, revocable license to use SIERRA and related services for lawful personal, research, or professional use.

2.2 Restrictions

You may not:

• sublicense, resell, rent, or redistribute SIERRA except where a separate written agreement allows it;
• use the services for unlawful activity, harassment, fraud, or abuse;
• interfere with the website, authentication flows, billing systems, or Cloud Invoker infrastructure;
• attempt to bypass token accounting, security controls, or access restrictions;
• remove copyright or proprietary notices from the software or site.

3. Accounts, Cloud Features, and User Responsibility

Some features require an account, active session, or paid balance. You are responsible for maintaining the confidentiality of your sign-in credentials, desktop deep-link handoff codes, and any third-party API keys or scripts you choose to use with SIERRA.

You are also responsible for all content you create, store locally, or send through cloud-backed features. If you run Invokers, community scripts, or Cloud Invokers, you are responsible for reviewing the inputs you submit and ensuring your use complies with applicable laws, contracts, and third-party service terms.

4. Billing, Subscriptions, and Tokens

Phantom Helix may offer free downloads, paid subscription plans, and token purchases for cloud-backed features. Prices, token allotments, and package details may change prospectively. Unless otherwise stated or required by law, payments are non-refundable.

Access to Cloud Invoker features may depend on having an active subscription, an available token balance, or both. Misuse, fraud, charge disputes, abuse of promotional offers, or attempts to evade billing controls may result in suspension or termination of cloud access.

5. Third-Party Services

The services rely on third-party providers such as Stripe, Firebase, Redis, Mailchimp, and upstream APIs or tools used by Invokers. Some Cloud Invokers forward the inputs you approve to third-party services in order to complete the requested task. Phantom Helix is not responsible for the availability, accuracy, legality, or privacy practices of third-party providers.

6. Privacy

Please review our Privacy Policy, which explains how Phantom Helix handles account, billing, and security-related data. Your local SIERRA graphs and notes remain on your device by default unless you intentionally use a feature that uploads approved inputs.

7. Termination

We may suspend or terminate access to some or all services at any time, with or without notice, if we reasonably believe you violated these terms, created risk for other users or service providers, or engaged in fraud, abuse, or unlawful conduct.

8. Disclaimer of Warranties

SIERRA and Phantom Helix services are provided "AS IS" and "AS AVAILABLE." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and accuracy.

9. Limitation of Liability

To the fullest extent permitted by law, Phantom Helix will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity arising from your use of the services.

10. Changes to These Terms

We may update these Terms of Service from time to time. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of the services after an update takes effect means you accept the revised terms.
